<p>Launching a business is not easy, especially because you have to choose between several legal forms. To differentiate the types of companies, two main categories exist: the capital company and the partnership. <strong>Whatever your project, it is therefore necessary that you can distinguish between each of these two companies</strong>. What are the advantages and disadvantages of each of these companies? What do you need to know first about the partnership and the capital company? This is what we will see together.</p>



<h2 class="wp-block-heading">What is a partnership ?</h2>



<p>The partnership places special emphasis on the partners and the purpose of their association. This is in particular what differentiates it from the capital company. More concretely, this social form of company only exists thanks to the trust that the partners have placed between them, since the latter are responsible for the debts of the company in a perfectly solidary manner. In other words, unlike a SARL (limited liability company), which limits the liability of the partners to their contributions to the share capital, the partnership entails an increased risk for each of them.</p>

<p>This particularity of the partnership implies a somewhat particular operation, especially when it comes <a href="https://newgrids.fr/2022/11/14/the-steps-to-define-your-marketing-strategy/">to making an important decision</a>, since the unanimity of the partners is required. Similarly, in terms of taxation and taxation, the latter are individually subject to the income tax system. Among the most common partnerships, we find in particular the SCS limited partnership, the SNC general partnership and civil companies such as the SCI.</p>



<h2 class="wp-block-heading">What is a capital company ?</h2>



<p>As you will have understood, in a capital company, it is the financial participation of the partners which takes precedence over the simple association itself. All the elements that concern the person themselves are less important, knowing that they do not necessarily know each other. The contribution to the share capital takes precedence over other elements. Thus, the integration of a shareholder or a partner is done mainly on the basis of his contribution, which entitles him in return to shares or shares. Whether the share capital is made up of contributions in cash or contributions in kind, the creation of a capital company leads to the creation of assets specific to the company.</p>



<p>Within the capital company, as for an LLC, the liability of the partners is limited to their contributions to the share capital. In other words, if the company incurs debt, they will not be able to lose more than the amount they have injected into the company. Therefore, the risk is much lower than in a partnership. Finally, it should not be forgotten that a capital company is, by default, subject to corporation tax, and that only the company is taxed. Note, however, that income tax is a tax option that remains possible.</p>

<p>I find that we have been talking a lot, for some time now, about the human enterprise. And it&#8217;s true that many leaders believe in this story they tell. This tale for an adult scarred by decades of professional disappointment and who is looking for a new job, or for a final year student all excited in the middle of the stands of the trade fair. And they sometimes insist heavily on convincing that their company, the one they founded, hatched, developed at the risk of their family life even at the risk of their health, is indeed part of this elite, of these organizations designed to that everyone is happy, where, it seems, the person is at the center of all attention: for us the most important thing is people. The whole question is how they think they value human beings.</p>

<h2 class="wp-block-heading">A toxic over-adaptation for the individual and for the company itself</h2>



<p>This is how for many people, professional life becomes a big permanent gap between what they experience, what they feel, and the ways in which they react and behave with their colleagues, clients or bosses. Far from always being able to be spontaneous, <strong>they are on the contrary very often restrained and in control.</strong></p>

<p> Where the circle is particularly vicious is that this phenomenon of over-adaptation of the person to the organization also generates real damage for the company: when it is freshly recruited, the person arrives with a personality, a sensitivity, ideas, desires which could greatly enrich others and the collective, which would make it possible to create new things… but a few months later, this person is no longer as creative as at the beginning; she seems less dynamic than expected, less enthusiastic too. In fact, she complied, and now she herself censors her reactions, her ideas and she adapt her behavior to correspond to what the organization expects.</p>



<h2 class="wp-block-heading">In search of simplicity and confidence</h2>



<p>The first lever of action therefore consists in identifying and reducing or completely eliminating when possible, everything in the company that pushes people to censor themselves, to over-adapt to the functioning of the organization, everything that digs into the gap between their natural way of being, their feelings, and the way they feel they can behave. The objective is to allow greater freedom of being, to unlock speech and to give back its place to emotion. </p>



<p>The second lever, completely linked to the first, comes down to allowing people to become aware of the impact positive or negative caused by the relationships they have with their colleagues, and the influence of these relationships on the behavior of each and on the general operation.</p>
